Terms & Conditions
Last updated: 3 November 2026
These Terms & Conditions govern your use of the bizenius.com website and your registration for and participation in BIZENIUS programmes and events, including programmes delivered for a single organisation ("in-house programmes", see the In-house programmes part below). The website and the BIZENIUS brand are operated by BIZENIUS Business Solutions - FZCO, a free zone company registered in Dubai, United Arab Emirates ("BIZENIUS", "we", "us"). By using this site, registering for a programme or signing a BIZENIUS contract you accept these terms. Where they differ, a signed BIZENIUS registration form or contract (training, in-house, advisory or technology services) takes precedence over these terms, and these terms take precedence over any purchase order, supplier portal, vendor-onboarding form, client contract or other client document. A client document prevails only where BIZENIUS has signed it or accepted it in writing, and then only on the points it expressly covers.
Use of this site
Content is provided for general information about our services and is free to browse. You may not bulk-extract, republish, resell or misrepresent site content, use it to build competing materials or datasets, or attempt to probe, overload or disrupt the site. Ordinary indexing of public pages by search engines and AI assistants is permitted. Linking to bizenius.com is welcome provided the link does not imply endorsement or misattribute our content.
No professional advice
Website content, downloadable resources and responses from our website assistant are general commentary provided for information only. They do not constitute legal, tax, accounting, regulatory, investment or other professional advice, and no warranty is given as to their accuracy, timeliness or completeness. Obtain advice for your specific situation — and engage us formally — before relying on anything here for a business decision.
Intellectual property
The BIZENIUS name and marks — including The Capability Arc™, the Mandate Record and BIZENIUS Accord — and all site content, programme materials, outlines and brochures belong to BIZENIUS or its licensors. They are provided for your evaluation and personal professional use only and may not be reproduced, shared, uploaded or reused, or entered into any artificial intelligence tool, without our prior written permission. Unauthorised use may result in a claim for damages and/or other legal action. Trademarks of third parties appearing on the site are acknowledged as belonging to their owners.
Enquiries and registrations
Submitting an enquiry through this site creates no contract. A registration becomes binding when BIZENIUS confirms it in writing. Published seats, dates, venues, faculty and fees are indicative until confirmed and may change; where circumstances beyond our control so require, BIZENIUS may substitute speakers or faculty, or alter content, format or venue of a programme without liability, while preserving the programme’s overall standard. Registered participants and the registering organisation’s contacts receive information about current and future BIZENIUS sessions; anyone may opt out at any time through the unsubscribe link or by writing to privacy@bizenius.com.
Fees and payment
Fees are payable in advance: full payment is due by the due date shown on the invoice and in any event before the programme begins, in cleared funds and without set-off, unless flexible payment terms have been agreed in writing. Payment is made only against a BIZENIUS invoice, to the bank account shown on it; BIZENIUS never changes its bank details by email or message. BIZENIUS may refuse admission where payment has not been received. Fees are exclusive of any applicable taxes, levies and bank charges, which are payable by the client. Where the client is required by law to withhold tax from a payment, the amount invoiced is increased so that BIZENIUS receives the full fee; the client pays the tax withheld to the relevant authority and provides BIZENIUS with the official receipt. Where shown on the registration form, a delegate administration fee covering administration, certification, record-keeping and training-audit evidence is charged per delegate. Early-bird, team and other promotional discounts apply only where payment is received by the stated cut-off date and cannot be combined with any other offer.
Cancellation, substitution and postponement
This section applies to registrations for public programmes; in-house programmes are governed by clause IH7. A registered participant may be replaced by a colleague at no charge, on written notice to us before the programme starts and with BIZENIUS's written approval, which will not be unreasonably withheld. Cancellations must be made in writing, by email to your BIZENIUS contact and/or connect@bizenius.com. Cancellations received thirty (30) days or more before the first day of the programme or engagement receive a credit note for 90% of the fee (a 10% administration charge applies), valid for any BIZENIUS programme for twelve (12) months. No credit is issued for cancellations received less than thirty (30) days before the first day, or for non-attendance. Registration creates a binding payment obligation: where an invoice is unpaid at the time of cancellation or non-attendance, it remains due and payable in full under all circumstances, and any credit note to which the client is entitled is issued only after the invoice has been settled. If BIZENIUS cancels a programme, registered clients receive a 100% credit note valid for twelve (12) months; if BIZENIUS postpones and the participant cannot attend the new date, a 100% credit note valid for twelve (12) months is issued. Any amount due back to a client is settled by credit note rather than in cash. BIZENIUS's total liability in connection with any cancellation, substitution, alteration or postponement is limited to the fee actually received for the affected registration.
Virtual and in-person delivery
Access details for virtual sessions are personal to the registered participant and may not be shared. Recording, downloading or redistributing any session, in whole or in part, is prohibited without our prior written permission. For in-person events, participants are expected to observe the venue’s rules; BIZENIUS is not responsible for participants’ travel, accommodation or related costs, including where a programme is altered or postponed — we recommend booking flexible arrangements.
Certificates
Participants who complete a BIZENIUS programme receive a BIZENIUS Certificate of Achievement. Certificates are issued in the participant's name as registered and only once the related invoice has been settled. Quiz scores and other results of interactive tools are internal records and confer no certification unless expressly stated.
Interactive tools, quizzes and feedback
Live quizzes, feedback forms and similar tools are provided for engagement and learning. Display names must be professional; BIZENIUS may remove any participant or entry that is offensive or disruptive. By submitting feedback you agree that BIZENIUS may quote non-confidential comments as testimonials in its materials — anonymously, or attributed at most by first name and last initial where you have ticked the testimonial permission box. You may withdraw a testimonial at any time by writing to privacy@bizenius.com.
Recommending colleagues
Where you share a colleague’s contact details with us — for example in a feedback form — you confirm that you have a professional relationship with them and a reasonable basis to believe they would welcome hearing from us. We will identify you as the source of the introduction unless you ask us not to, and we will honour any request from them not to be contacted again.
Liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, BIZENIUS provides the website and its content "as is"; we are not liable for losses arising from use of this site, reliance on its content, or events beyond our reasonable control, and in respect of any programme or service our total aggregate liability is limited to the fees actually paid to us for that programme or service. In no event is BIZENIUS liable for indirect or consequential loss, loss of profit, revenue, data or goodwill.
Indemnity
You agree to indemnify BIZENIUS against claims, losses and costs arising from your breach of these terms, your misuse of the website or its tools, or content you submit unlawfully.
Force majeure
BIZENIUS is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemics, labour disputes, extreme weather, utility or network failures, or acts of any government or authority that render performance impracticable, illegal or impossible. Where such an event prevents a programme from going ahead, BIZENIUS may postpone it or deliver it live online; where it is cancelled, or a participant cannot attend the new date, the client receives a 100% credit note valid for twelve (12) months.
Third-party links
Links to third-party websites are provided for convenience only and do not constitute endorsement. BIZENIUS has no responsibility for the content or practices of linked sites.
Changes to these terms
BIZENIUS may update these terms and the information on this website at any time. Each version is dated. The version published at the time of your registration governs that registration, and earlier versions are available on request. The version published on the date a BIZENIUS in-house contract is signed governs that contract. Continued use of the site constitutes acceptance of the current version.
General
If any provision of these terms is held invalid, the remainder continues in full force. A failure to enforce any provision is not a waiver of it. These terms, together with the signed registration form or BIZENIUS contract, are the entire agreement between you and BIZENIUS regarding the website, programme registrations and in-house programmes. Terms appearing in any purchase order, supplier portal, vendor-onboarding form, client contract or other client document do not apply unless BIZENIUS has signed that document or accepted it in writing, and then only on the points it expressly covers; issuing an invoice, quoting a purchase-order number or registering on a supplier portal is not acceptance. Written notices to BIZENIUS under these terms, including cancellations, are given by email to your BIZENIUS contact and/or connect@bizenius.com. These terms are published in English and French; if the two versions differ, the English version prevails.
Governing law and jurisdiction
These terms and any registration are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The parties submit any dispute arising out of or in connection with them to the exclusive jurisdiction of the Courts of the Dubai International Financial Centre (DIFC Courts), save that BIZENIUS may at its election bring proceedings in the jurisdiction where you or your organisation is located.
In-house programmes: IH1. Scope and the In-House Contract
IH1.1 This part applies to any programme BIZENIUS delivers for a single client organisation, at the client's premises, at another venue or live online (an "in-house programme"). It applies together with the BIZENIUS in-house contract signed by the client (the "In-House Contract"), which states the programme, format, venue, delivery dates, number of participants, fee, payment terms and any other agreed points.
IH1.2 For in-house programmes, the In-House Contract prevails over this part, and this part prevails over the rest of these terms. The sections "Enquiries and registrations" and "Cancellation, substitution and postponement", and any delegate administration fee or promotional discount, do not apply to in-house programmes unless the In-House Contract says so.
IH1.3 In this part: "Session" means the delivery of the programme on the delivery dates; "BIZENIUS Faculty" means the trainer or trainers assigned by BIZENIUS; "Participant" means a person nominated by the client to attend; "Materials" means all documents, slides, models, spreadsheets, case studies, exercises, assessments and other content supplied in connection with a Session, in printed or electronic form; "Unrecoverable Expenses" means costs committed by BIZENIUS and not recoverable by it, including air fares, accommodation, visa and legalisation fees and ground transport.
In-house programmes: IH2. Booking and delivery
IH2.1 In-house delivery requires a lead time of not less than thirty (30) calendar days, unless the In-House Contract states otherwise, and is subject to the availability of the BIZENIUS Faculty. Delivery dates are reserved only once the In-House Contract has been signed by the client and BIZENIUS has confirmed the dates in writing; dates discussed before that point are indicative and are not held.
IH2.2 BIZENIUS delivers the programme on the delivery dates and supplies the Materials in electronic form (printed copies only where the In-House Contract states so), together with a BIZENIUS Certificate of Achievement for each Participant who attends the Session in full.
IH2.3 The Session is delivered in the language stated in the In-House Contract, or in English where none is stated. Delivery in a language other than English or French, and translation of the Materials, is subject to BIZENIUS's prior written agreement and additional charge.
IH2.4 Should exceptional circumstances outside BIZENIUS's control, such as illness or travel disruption, prevent the assigned BIZENIUS Faculty from attending, BIZENIUS will inform the client as soon as it becomes aware, discuss the change beforehand wherever circumstances allow, and assign a replacement of equivalent standing and experience so that the Session proceeds as planned. Such a change does not affect the fee or the delivery dates.
In-house programmes: IH3. Participants
IH3.1 The number of Participants covered by the fee is agreed case by case and stated in the In-House Contract. The fee is charged per Session and is not reduced if fewer Participants attend.
IH3.2 The client provides the names, job titles and business email addresses of the Participants not less than ten (10) days before the first delivery date.
IH3.3 Additional Participants may attend only with BIZENIUS's prior written approval, at the rate stated in the In-House Contract or otherwise agreed in writing, invoiced after the Session.
IH3.4 Participants follow BIZENIUS's reasonable instructions and the site rules at the venue. BIZENIUS may exclude from a Session any Participant who is disruptive, abusive or impaired, without refund or liability.
In-house programmes: IH4. Fee, invoicing and payment
IH4.1 The fee and all other charges are exclusive of value added tax, goods and services tax, sales tax and any other indirect tax, which the client pays in addition against a valid invoice. Any stamp, registration, documentary or similar duty arising outside the United Arab Emirates in connection with the In-House Contract or any payment under it is borne by the client.
IH4.2 Unless the In-House Contract states otherwise, BIZENIUS invoices the fee on signature and the fee is payable within five (5) business days of the invoice date. BIZENIUS is not obliged to begin preparation, book travel or hold the delivery dates until the fee has been received in cleared funds. Payment is made only against a BIZENIUS invoice, to the bank account shown on it; BIZENIUS never changes its bank details by email or message.
IH4.3 Additional Participant fees, any visa handling fee and reimbursable expenses are invoiced separately and are payable within five (5) business days of the invoice date.
IH4.4 All sums are paid in the currency stated in the In-House Contract, in cleared funds, without set-off, counterclaim, deduction or withholding, and free of all bank, correspondent and transfer charges, which are for the client's account.
IH4.5 If the client is required by law to withhold tax from a payment, it remits the amount withheld to the relevant authority within the period allowed by law, delivers to BIZENIUS an official receipt or tax certificate within thirty (30) days, and pays such additional amount as ensures that BIZENIUS receives the amount it would have received had no withholding been required. The parties cooperate in good faith to obtain the benefit of any applicable double taxation treaty, and BIZENIUS supplies a certificate of residence on request; where relief is obtained, the additional amount is calculated at the reduced rate. This clause does not apply to taxes on BIZENIUS's own income in its jurisdiction of residence.
IH4.6 Overdue sums carry interest at twelve per cent (12%) per annum simple from the due date until payment in full, before and after judgment, and the client reimburses BIZENIUS's reasonable costs of recovery, including legal fees. While any sum is overdue BIZENIUS may, on written notice and without liability, suspend performance, decline to travel to the venue, and withhold the Materials, attendance records and certificates.
In-house programmes: IH5. Venue (Sessions at the client's premises)
IH5.1 Where a Session is delivered at the client's premises or a venue arranged by the client, the client at its own cost, unless the In-House Contract states otherwise:
- secures timely access for BIZENIUS's personnel, including security clearances, passes and site inductions;
- provides a training room suitable for the Participants, with seating, power, lighting, climate control, a projector or large display, a flipchart or whiteboard and reliable internet access;
- provides refreshments and lunches for the Participants and BIZENIUS's personnel;
- ensures the venue and equipment are safe and compliant with health and safety requirements, notifies BIZENIUS in advance of site rules, hazards and emergency procedures, and obtains any licences or permits required;
- maintains employers' and public liability insurance appropriate to the venue, with evidence on request.
IH5.2 Any delay in access or in the availability of the venue or facilities is deducted from the available instruction time. BIZENIUS may suspend or discontinue a Session where it reasonably considers conditions unsafe or materially prejudicial to delivery; the fee remains payable and the client bears the resulting costs, including re-delivery and further travel.
IH5.3 The client indemnifies BIZENIUS against liabilities, losses and costs arising from injury to or death of BIZENIUS's personnel, or loss of or damage to its property, at the venue, except to the extent caused by BIZENIUS's negligence.
In-house programmes: IH6. Travel, accommodation and visas
IH6.1 Flights, local transport and accommodation for the BIZENIUS Faculty and its coordinator are arranged and paid as stated in the In-House Contract. Where the In-House Contract makes the client responsible, the client provides them in time and to a reasonable business standard; where it makes BIZENIUS responsible, they are included in the fee unless the In-House Contract states otherwise.
IH6.2 Unless the In-House Contract states otherwise, visas, entry permits and any related invitation or sponsorship letters, host-entity confirmations and local approvals for BIZENIUS's personnel are the client's responsibility and cost. The client completes them in time for travel, and in any event begins them not later than three (3) weeks before the first delivery date. Where the In-House Contract states that BIZENIUS makes the applications, the client provides the supporting documents promptly on request and the visa handling fee stated in the In-House Contract, with the related charges, is added to the invoice.
IH6.3 If, despite an application made in good time, a visa or entry permission is refused, delayed or revoked, or travel is prevented or materially disrupted, BIZENIUS may at its option assign another BIZENIUS Faculty, deliver the Session live online at the same fee, or reschedule within twelve (12) months. None of these is a breach, the fee remains payable, and BIZENIUS has no liability for any cost incurred by the client or any Participant.
IH6.4 If the client does not complete or support the visa formalities, or provide the travel or accommodation it is responsible for, in good time and delivery becomes impossible as a result, the Session is treated as cancelled by the client on that date and IH7 applies.
In-house programmes: IH7. Cancellation and postponement by the client
IH7.1 From signature BIZENIUS reserves BIZENIUS Faculty time, begins preparation and commits travel. If the client cancels or postpones a Session, the following charges, as a percentage of the fee, become due by reference to the date written notice is received:
- more than 45 calendar days before the first delivery date: nil;
- 45 to 31 calendar days before: 50%;
- 30 to 16 calendar days before: 75%;
- 15 calendar days or fewer before, or failure to make the venue or the Participants available on a delivery date: 100%.
IH7.2 These charges are payable whether or not the fee has been paid. Where the fee has been paid, BIZENIUS retains the applicable charge and issues a credit note for the balance, valid for twelve (12) months against any BIZENIUS programme or engagement. Where the fee has not been paid, the applicable charge falls due immediately on cancellation. Any amount due back to the client is settled by credit note rather than in cash.
IH7.3 Except where the 100% charge applies, the client also reimburses all Unrecoverable Expenses, including any visa, permit and legalisation fees already incurred.
IH7.4 A postponement is treated as a cancellation unless the Session is re-delivered on a date agreed in writing within three (3) months of the original first delivery date. In that case half of the charge under IH7.1 applies, except for a postponement notified fifteen (15) calendar days or fewer before the first delivery date, and the client bears the costs of re-arranging travel and accommodation.
IH7.5 Any sum retained or charged under this clause is a genuine pre-estimate of BIZENIUS's loss, reflecting BIZENIUS Faculty time reserved, preparation undertaken and travel committed. Termination by the client for convenience is treated as a cancellation under this clause.
In-house programmes: IH8. Intellectual property and recording
IH8.1 All intellectual property rights in the Materials, and in the content, structure, methodology, models and case studies of the Session, remain with BIZENIUS or its licensors. Nothing transfers any intellectual property right to the client or any Participant; where a printed copy is supplied, the client acquires title only to that physical copy.
IH8.2 Subject to payment in full, BIZENIUS grants the client and each Participant who attended a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Materials solely for the client's internal business and training purposes. Each Participant may display and print reasonable portions of electronic Materials and keep them for personal reference.
IH8.3 The client does not, and ensures that no Participant does, any of the following:
- copy, scan, reproduce, reformat, translate, adapt or create derivative works from the Materials;
- upload or make them available on any learning-management system, intranet, shared drive, knowledge base or similar platform;
- disclose them to any third party, including any group company, affiliate, outsourced provider, auditor or consultant;
- use them to deliver, prepare or support any training, including on a train-the-trainer basis;
- input them into any artificial intelligence, machine learning or large language model tool or service.
Any copy permitted in writing must carry the notice "© BIZENIUS. All rights reserved."
IH8.4 No audio, video, photographic, screen-capture or other recording of a Session or the Materials may be made. If BIZENIUS reasonably suspects a breach, it may suspend or end the Session immediately, the fee remains payable in full, and the client procures deletion of the recording and confirms it in writing.
IH8.5 Wider use, including internal re-delivery or group-wide use, requires a separate enterprise licence and fee agreed in writing.
In-house programmes: IH9. Confidentiality and personal data
IH9.1 Each party keeps confidential all information of the other disclosed in connection with the Session, disclosing it only to its own personnel who need to know it, or as required by law or a regulator. The Materials are BIZENIUS's confidential information.
IH9.2 For Participant data processed to register Participants, deliver the Session, keep attendance records, issue certificates and keep BIZENIUS's own professional, tax and accounting records, each party acts as a separate and independent controller. The client warrants that it has a lawful basis for sharing Participant data with BIZENIUS and has told each Participant that BIZENIUS processes their data as a separate controller. Each party applies appropriate security measures, notifies the other without undue delay of any personal data breach affecting Participant data, and assists reasonably with data subject requests and regulatory enquiries.
In-house programmes: IH10. Nature of the services
IH10.1 Sessions and Materials are provided for general information and educational purposes only. They are not legal, regulatory, supervisory, accounting, actuarial, tax, audit, risk-management or investment advice, are not tailored to the client's business, balance sheet, jurisdiction or regulatory correspondence, and are not a substitute for the client's own analysis and professional advice.
IH10.2 BIZENIUS gives no warranty or guarantee as to any outcome, including any learning, regulatory, supervisory, examination, audit, certification or business result.
In-house programmes: IH11. Liability
IH11.1 Nothing limits or excludes either party's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
IH11.2 Subject to IH11.1, neither party is liable, in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, anticipated savings, goodwill, reputation or data, or for any indirect or consequential loss. BIZENIUS's total aggregate liability arising out of or in connection with an in-house programme does not exceed the fee actually paid for the Session to which the claim relates.
In-house programmes: IH12. Compliance, sanctions and force majeure
IH12.1 Each party complies with applicable anti-bribery, anti-corruption and sanctions laws. Each party represents that neither it nor, so far as it is aware, any person it engages in connection with the In-House Contract is a target of sanctions, is owned or controlled by such a person, or is located in a comprehensively sanctioned country or territory. A breach of this clause is a material breach incapable of remedy. Either party may terminate immediately on such a breach, or where performance would expose it to sanctions liability; the fee for services performed and BIZENIUS's Unrecoverable Expenses remain payable.
IH12.2 Neither party is in breach for any failure or delay caused by an event beyond its reasonable control, including:
- natural disaster, epidemic, war, terrorism or civil commotion;
- sanctions, or measures of any government, central bank or regulator;
- closure of borders or airspace, refusal or revocation of a visa or permit, or transport disruption;
- strike, fire, flood, utility or telecommunications failure, or cyber attack.
The affected party notifies the other in writing within ten (10) days. Where such an event prevents delivery, BIZENIUS offers an alternative date within twelve (12) months or live online delivery, at the same fee, and the client accepts one of them. The fee remains payable, no cancellation charge arises, and the client reimburses BIZENIUS's Unrecoverable Expenses. If the event lasts more than three (3) months with no alternative agreed, either party may terminate the affected Session by written notice. BIZENIUS then issues a credit note for the fee, less Unrecoverable Expenses and the value of work performed, valid for twelve (12) months.
In-house programmes: IH13. Non-solicitation and references
IH13.1 For twenty-four (24) months after the last delivery date, the client does not directly or indirectly solicit, employ or engage any employee, associate, consultant or subcontractor of BIZENIUS, including the BIZENIUS Faculty, who prepared or delivered the Session, without BIZENIUS's prior written consent. Responses to a bona fide recruitment advertisement not directed at BIZENIUS personnel are excluded. On a breach, the client pays BIZENIUS a sum equal to 100% of the annual remuneration or fees payable to the person in the first twelve months of the new engagement.
IH13.2 BIZENIUS may include the client's name in a factual list of institutions whose teams have attended its programmes, without any detail of the Session, the Participants or the client's business. Any other public reference by either party to the other requires the other's prior written consent.
In-house programmes: IH14. Term and termination
IH14.1 The In-House Contract takes effect on signature by the client and continues until the Session has been delivered and all sums paid. Either party may terminate immediately by written notice if the other commits a material breach not remedied within fourteen (14) days of written notice, or becomes insolvent or ceases to carry on business.
IH14.2 Clauses IH4, IH5.3, IH7, IH8, IH9, IH10, IH11, IH12.2 (final sentence), IH13, IH14 and IH15 survive termination or completion. Termination does not affect rights and liabilities accrued before it.
In-house programmes: IH15. General (in-house)
IH15.1 The In-House Contract and these terms are the entire agreement for the in-house programme and supersede all previous drafts, proposals and understandings. Neither party relies on any statement not set out in them, save that nothing limits liability for fraudulent misrepresentation.
IH15.2 Any variation must be in writing and signed by an authorised representative of each party; writing includes email and electronic signature. The client may not assign or subcontract its rights or obligations without BIZENIUS's prior written consent.
IH15.3 Notices are in writing to the contacts in the In-House Contract. An email notice is effective when sent, provided no non-delivery message is received.
IH15.4 The In-House Contract may be signed in counterparts and electronically. Nothing creates a partnership, joint venture or agency. Except that BIZENIUS's group companies and the individuals it engages may enforce IH8, IH9 and IH13, no third party may enforce the In-House Contract.
IH15.5 The parties first seek to settle any dispute amicably. Failing that, the section "Governing law and jurisdiction" applies (UAE law as applicable in Dubai; DIFC Courts, with BIZENIUS's option to bring proceedings where the client is established).
